Terms of Use for Rally Base

Welcome to Rally Base! These Terms and Conditions ("Terms") govern your access to and use of the Rally Base mobile application (the "App") and any related services (collectively, the "Service") provided by HypedUpApps ("we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY. BY DOWNLOADING, ACCESSING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By using the Service, you affirm that you are at least 13 years old (or the minimum age required in your jurisdiction to use such services without parental consent) and capable of entering into a binding agreement. You agree to comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

2. The Service

Rally Base provides a platform for users to organize and coordinate social events and activities ("Rallies"). Features may include creating events, inviting friends, managing RSVPs, location sharing during event times, creating polls and checklists, and event-specific chat. We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice at any time.

3. User Accounts

• Registration: You may need to register for an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
• Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
• Termination: We may suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties, or for any other reason.

4. Location Sharing

• Functionality: A key feature of Rally Base allows participants of an active Rally to temporarily share their location with other confirmed participants of that specific Rally during the event's timeframe. This feature is designed solely for coordination purposes (e.g., seeing who has arrived, finding each other at a meeting point).
• Consent Required: Location sharing is opt-in. You must explicitly grant permission for the App to access your location and agree to share it for each specific Rally you choose to enable it for.
• Temporary & Limited: Location sharing is intended to be active only during the timeframe of the Rally. We aim to automatically stop sharing after the event's scheduled end time, but technical limitations may exist. You can typically manually stop sharing at any time through the App or your device's settings.
• User Responsibility: You are responsible for managing your location sharing settings. Do not enable location sharing if you are uncomfortable sharing your whereabouts with other participants of the Rally.
• Disclaimer: While we strive for accuracy, location data depends on device settings, network connectivity, and GPS availability, and may not always be precise or real-time. We are not liable for inaccuracies in location data or any consequences arising from the use or misuse of the location sharing feature.

5. User Content

• Definition: You may be able to create, post, or share content, such as profile information, messages, poll questions/options, and checklist items ("User Content").
• Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to grant the licenses granted herein and that your User Content does not violate any third-party rights or applicable laws.
• License to Us: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business operations. This license is solely for the purpose of operating, promoting, and improving the Service.
• Monitoring: We reserve the right, but have no obligation, to monitor, review, screen, or remove User Content at our discretion and without notice.

6. Acceptable Use

You agree not to use the Service to:

• Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
• Transmit any worms or viruses or any code of a destructive nature.
• Violate any applicable laws or regulations.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to reverse engineer, decompile, or disassemble any portion of the App.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of HypedUpApps and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and disclose information about you. You can find our Privacy Policy here: Privacy Policy. By using the Service, you agree to the terms of the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HYPEDUPAPPS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (c) ANY CONTENT OBTAINED FROM THE SERVICE; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Indemnification

You agree to defend, indemnify, and hold harmless HypedUpApps and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content posted on the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect (e.g., via in-app notification or email). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
